End User License Agreement

1. Agreement and Scope
This EULA is an agreement between you and CorkBoard Studio, operated by Jack Allen. Installing, copying, or using the Software means you accept this EULA. If you use the Software for an organization, you represent that you can bind it. A signed enterprise, school, OEM, or deployment agreement controls over conflicting terms.
"Software" includes downloadable, installed, offline, local-server, desktop, mobile, packaged web-app, update, documentation, and bundled CorkBoard components supplied by us. It excludes third-party components governed by their own licenses.
2. Limited License
Subject to payment, plan limits, and compliance with this EULA, CorkBoard grants you a limited, nonexclusive, nontransferable, nonsublicensable, revocable license to install and use the Software on devices you own or control for your internal creative, production, broadcast, or educational purposes.
An organization may permit authorized personnel and students to use its licensed deployment only within purchased seat, site, or institutional limits. This is a license, not a sale. CorkBoard and its licensors reserve all rights not expressly granted.
3. Restrictions
Except where applicable law expressly permits it despite this restriction, you may not:
- Copy, distribute, rent, lease, sell, sublicense, host for third parties, or commercially exploit the Software outside your purchased rights.
- Reverse engineer, decompile, disassemble, discover source code, remove technical protections, or create derivative products from the Software.
- Remove copyright, trademark, attribution, license, or proprietary notices.
- Use the Software to build or train a competing product or dataset through automated extraction.
- Separate and use bundled assets, curriculum, templates, or documentation independently unless their license permits it.
- Use the Software unlawfully or in violation of the Terms of Service.
4. User Content, Local Data, and Backups
You retain ownership of User Content as described in the Terms. A local deployment may store projects, settings, credentials, device addresses, and caches on your device or network. You are responsible for endpoint security, access controls, backups, retention, and deletion for locally controlled data.
Do not embed API keys, passwords, student records, confidential scripts, or device credentials in copies distributed to unauthorized users. Export and independently back up critical projects before updating, uninstalling, migrating, or changing deployment.
5. Updates, Support, and Availability
We may provide patches, updates, replacements, or new versions. Updates may change features, compatibility, file formats, requirements, or third-party integrations. Unless separate terms accompany an update, this EULA applies to it.
Support, update duration, service levels, backward compatibility, and offline availability are provided only as stated in the applicable plan or written agreement. Beta or preview builds may be unstable and are not intended as the sole system for live broadcast, safety, grading, or critical production data.
6. Third-Party Components and Services
The Software may include open-source, licensed, SDK, font, icon, media, and other third-party components. Their notices and licenses govern those components and may grant additional rights. Third-party services and integrations are governed by their providers' terms and privacy policies.
CorkBoard Studio is not affiliated with or endorsed by Blackmagic Design, Google, Apple, OpenStreetMap, OBS, vMix, or other named vendors unless expressly stated in writing. Their names and marks belong to their respective owners.
7. Broadcast and Hardware Use
You are solely responsible for authorized network and device access, compatible drivers and SDKs, electrical and operational safety, signal verification, redundancy, operator training, and a manual fallback. Test key/fill, timing, routing, recording, storage, and on-air states before production.
Commands, timing, graphics, rundowns, automation, and device status may be delayed, rejected, duplicated, stale, or incorrect because of software, network, device, configuration, or operator conditions. Do not rely on the Software as the only emergency, safety, compliance, or on-air control.
8. Term and Termination
This EULA continues until terminated. It terminates automatically if you materially breach it. On termination, stop using and delete licensed copies, except for archival copies required by law or a written agreement. Termination does not transfer ownership of User Content, but access to cloud services may end under the Terms.
9. Disclaimer of Warranty
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, OR ERROR-FREE OPERATION. Some jurisdictions provide nonwaivable consumer warranties; those rights are not excluded.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CORKBOARD AND ITS AFFILIATES, LICENSORS, AND PERSONNEL WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR LOST DATA, PROFITS, PRODUCTION TIME, AIR TIME, EDUCATIONAL OPPORTUNITY, OR BUSINESS INTERRUPTION.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, TOTAL LIABILITY ARISING FROM THE SOFTWARE WILL NOT EXCEED THE GREATER OF THE AMOUNT PAID FOR THE SOFTWARE DURING THE 12 MONTHS BEFORE THE EVENT OR US$100. This limit does not apply to liability that cannot legally be limited.
11. Export and Government Use
You must comply with applicable export-control, sanctions, and import laws and may not use or transfer the Software where prohibited. U.S. government use is subject to applicable restricted-rights provisions for commercial computer software and documentation.
12. Governing Law and General Terms
This EULA is governed by Illinois law, excluding conflict-of-law rules, except where mandatory local law applies. Subject to mandatory law, courts in Cook County, Illinois have exclusive jurisdiction. If a provision is unenforceable, it will be limited and the remainder will continue. The Terms, Privacy Policy, this EULA, third-party notices, and any signed order or institutional agreement form the complete agreement for the Software.
